1. General Provisions
These Terms govern the use of this website and outline the general terms of services. By accessing this site, you accept these terms.
2. Scope of Activity
- Design and development of custom, tailored software.
- Technical consulting, business process automation audits, and AI integrations.
- Post-launch maintenance and dedicated technical support.
3. Software Project Engagement
The information on this website does not constitute a binding commercial offer under the Polish Civil Code. The exact scope of work, timelines, budgets, and specific payment terms for any software project are strictly governed by a separate, definitive written agreement executed with the Client.
4. Payments
- Services are invoiced based on VAT invoices issued according to the milestones specified in the individual contract.
- Standard payment terms are 14 days from the invoice date, unless agreed otherwise in writing.
- For B2B transactions, late payments accrue statutory interest for commercial transactions under Polish law.
5. Intellectual Property
All intellectual property rights to the website content belong to Madcode. The transfer of economic copyrights to custom software developed for a Client is strictly governed by the individual contract. Under Polish copyright law, any transfer of economic copyrights must be made in writing or electronically using qualified electronic signatures, otherwise it is legally void.
6. Confidentiality
Both parties agree to keep confidential all technical, commercial, and organizational information disclosed during negotiations or service delivery. Detailed NDA terms are defined in specific project agreements.
7. Limitation of Liability
In B2B engagements, Madcode's liability for non-performance or improper performance is limited to direct damages caused by willful misconduct or gross negligence. Liability for indirect damages and lost profits is completely excluded. Total financial liability shall not exceed the fees actually paid by the Client for the specific project engagement.
8. Governing Law
These Terms and all subsequent service agreements are governed by Polish law. Any business-related disputes shall be resolved by the court having jurisdiction over Madcode’s registered office.
